PVR INOX Limited clarified on September 7, 2026, in response to a news item appearing on www.moneycontrol.com regarding an internal probe into alleged Rs 200 crore kickbacks, that in early April 2026, the company’s promoters received anonymous communications containing allegations of impropriety by certain employees, prompting the engagement of external third-party experts for a preliminary assessment, and that Mr. Pramod Arora resigned on May 4, 2026, due to personal reasons, with the company reserving all its rights and remedies.

PVR INOX Limited announced that its board approved a buyback of up to 20,68,965 fully paid-up equity shares at a price of INR 1,450 per share, for an aggregate amount not exceeding INR 300 crore, through a tender offer route. The buyback, representing 4.09% of the company’s equity capital, will be managed by DAM Capital Advisors Limited, with Friday, September 4, 2026, set as the record date. The company’s promoters and members of the promoter group intend to participate in the buyback.

PVR INOX Limited will seek board approval on August 31, 2026, for a buyback of its equity shares with a face value of Rs 10 each, the company said in a filing to the National Stock Exchange of India Limited and BSE Limited. Trading window for designated persons and their immediate relatives will be closed from August 25, 2026, to September 02, 2026, in accordance with the Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations, 2015.
