Nephrocare Health Services will hold a meeting of the Board of Directors of the Company on 11 August 2026.
Nephrocare Health Services announced that the 17th Annual General Meeting(AGM) of the company will be held on 12 August 2026.
Nephrocare Health Services has allotted 2,18,297 equity shares under ESOP on 14 June 2026. Consequently, the paid up equity share capital has increased to Rs 20,11,18,028, comprising 10,05,59,014 equity shares of face value of Rs 2/- each.
Nephrocare Health Care Services, Philippines Inc., an overseas step-down wholly-owned subsidiary of Nephrocare Health Services, has entered into an Asset Transfer Agreement (ATA) dated 09 June 2026 with Amica Healthcare System Corporation for the acquisition of identified assets relating to a dialysis center located at Dona Soledad, Don Bosco, Paranaque City, Philippines, for a total consideration of PhP 32,640,000, subject to the terms and conditions set out therein.
The agreement is to acquire identified assets related to a dialysis centre in Quezon City, Philippines. The acquisition pertains to a dialysis facility located at Duyan-Duyan, Project 3, Quezon City, and is being undertaken for a total consideration of PHP 30 million. The company said the transaction is aimed at expanding its dialysis care footprint in the Philippines and will be executed in accordance with the terms and conditions of the agreement. Nephrocare clarified that the seller is not related to the company, its promoters, or promoter group entities. The transaction does not qualify as a related-party transaction and does not involve any special rights or share issuance arrangements. Nephrocare Health Services provides end-to-end dialysis care through a wide network of clinics across India and select international markets. The promoters are Vikram Vuppala, BVP Trust, Edoras Investment Holdings, HPL, IPEF II and IGOF. The promoters and promoter group hold an aggregate of 7,31,03,833 equity shares, aggregating to 78.9% of the pre-offer issued and paid-up equity share capital. Their post IPO shareholding is expected to be around 66.72%. Ahead of the IPO, Nephrocare Health Services on 2 December 2025, the company raised Rs 2,439.54 crore from anchor investors, by allotting 21.97 lakh crore shares at Rs 111 each to 125 anchor investors. Nephrocare Health Services offers comprehensive dialysis care through its clinic network, covering diagnosis, treatment, and wellness programs. Its offerings include haemodialysis, home and mobile dialysis, hemodiafiltration, holiday dialysis, dialysis on call, and dialysis on wheels, supported by an in-house pharmacy, providing patients with convenient and holistic care. In India, the company has a presence across 288 cities in 21 States and 4 Union Territories. Approximately 77.35% of its clinics were in tier II and tier III cities, addressing a critical need in underserved regions.
