Fortis Healthcare expands presence in Bengaluru with acquisition of TMI Healthcare

Fortis Healthcare announced that its wholly owned subsidiary, International Hospital on 19 December 2025 has signed definitive agreements for acquisition of TMI Healthcare (primarily comprises hospital operations) through a share purchase agreement and acquisition of the underlying hospital land and building, and the adjacent land thereto (Proposed Transaction). The acquisition will enable the company to expand, scale up and deliver quality healthcare services to patients in Bengaluru. TMI Healthcare comprises the People Tree Hospital, Yeshwanthpur and two identified facilities (People Tree Hospital, Raghavendra and People Tree Hospital, Meenakshi). As part of the transaction to acquire 100% equity stake in TMI Healthcare; the above identified facilities would be carved out from TMI Healthcare prior to transaction closure. Fortis Healthcare on 20 December 2025 announced plans to invest around Rs 840 crore to expand its footprint in Bengaluru, as part of its cluster focused growth strategy in the city. The company said it has signed definitive agreements to acquire the 125 bedded People Tree Hospital in Yeshwanthpur through its wholly owned subsidiary, International Hospital. The composite transaction, including the acquisition of the hospital business, building and land, is valued at Rs 430 crore, including debt. Fortis will also acquire an adjacent land parcel of around 0.8 acres, which will allow the facility to scale up to more than 300 beds. An additional investment of about Rs 410 crore is planned over the next three years to expand bed capacity, upgrade medical equipment and add clinical programmes such as radiation oncology. People Tree Hospital Yeshwanthpur is a NABH accredited multi specialty facility offering services across cardiac sciences, orthopaedics, neurosciences, renal sciences and gastroenterology. Based on current revenues of about Rs 74 crore in FY25, Fortis said it sees scope to improve utilisation, revenues and profitability while executing the expansion. The transaction is expected to be completed by the end of January 2026, subject to customary conditions. With this acquisition, Fortis said its Bengaluru network has the potential to scale up to over 1,500 beds across seven facilities over the next three years, from about 900 beds at present. Fortis Healthcare is a leading integrated healthcare delivery service provider in India. The healthcare verticals of the company primarily comprise hospitals, diagnostics and day care specialty facilities. Currently, the company operates 33 healthcare facilities (including JVs and O&M facilities) across 11 states. The company's network comprises approximately 5,800 operational beds (including O&M beds) and over 400 diagnostics labs. On a consolidated basis, Fortis Healthcare's net profit rose 82.43% to Rs 321.92 crore while net sales rose 17.25% to Rs 2331.44 crore in Q2 September 2025 over Q2 September 2024. Fortis Healthcare inks 15-year lease agreement for 200-bed hospital in Greater Noida

Fortis had been previously managing the facility under an operations & management (O&M) arrangement since its launch in October 2022 and will continue to operate the facility as Fortis Hospital Greater Noida under the new lease arrangement. With the above, Fortis will assume complete operational and financial control, allowing it to consolidate the hospital's performance within its network. The hospital is built on a 1.35-acre UPSIDA-leased land parcel with 2.7 lakh square feet of built-up area. The facility has the potential to expand capacity by an additional 50 beds within the existing set-up; taking the total to 250 beds. Strategically located, it is well connected by the Greater Noida Expressway, Metro (Aqua line), Yamuna Expressway, and Eastern Peripheral Expressway, and is 34 km from the upcoming Jewar International Airport.
