Duke Offshore Limited informed the Bombay Stock Exchange that the register of members and share transfer book will remain closed from September 24, 2026, to September 30, 2026, for the 40th Annual General Meeting for the financial year ended March 31, 2026, with September 23, 2026, as the cut-off date for remote e-voting, which will be available from September 26, 2026, at 09:00 AM to September 29, 2026, at 05:00 P.M.

The company has appointed Aksha Mohit Kamboj, Sukumar Anand Shetty, Ashutosh Janak Kumar Thakar, Rajesh Chunilal Bhojani, Vaibhav Agarwal, and Arjun Bikas Dutta as new directors, who will hold office until September 30, 2026, pending shareholder approval at the 40th Annual General Meeting. Simultaneously, the company is proposing a sale of assets, the book value of which is still being determined, as part of a strategic restructuring to realign business operations and resources. Proceeds from the sale, to be conducted at market value with a buyer outside the promoter group, will be used for general corporate purposes, working capital, and investment in new business activities. The move, disclosed in compliance with SEBI’s Listing Obligations and Disclosure Requirements, also includes amendments to the company’s Memorandum of Association and Articles of Association, requiring shareholder approval.
