Adroit Infotech Limited has entered into a non-binding agreement to acquire a majority equity stake in Verso Altima Group d.o.o., a business integrator and digital solutions provider based in Zagreb, Croatia, which has a current standalone revenue of approximately 13 million Euros. Upon completion of the transaction, Adroit Infotech projects its consolidated revenue to reach an estimated $23-25 million USD (approximately Rs 225-250 crore), financed through internal accruals, a preferential issue, and a rights issue, without third-party debt. The acquisition will establish a global practice in SAP Billing and Revenue Innovation Management (BRIM) and advanced telecom engineering, integrating Verso Altima’s European operations with the capabilities of Adroit’s subsidiary, Verso Altima India Limited.

Adroit Infotech Limited informed the BSE Limited and The National Stock Exchange Limited that details of securities dematerialized/rematerialized during the quarter ended September 30, 2026, have been furnished as required under Regulation 74(5) of SEBI (Depositories and Participants) Regulations, 2018, with a certificate from Registrar and Share Transfer Agent, Venture Capital and Corporate Investments Private Limited, confirming that no securities were received for dematerialization/rematerialization during the quarter.

Adroit Infotech Limited will hold a board meeting on October 3, 2026, at 2:00 P.M. to consider and approve the appointment of trustees for the Adroit Infotech Employees Welfare Trust, the execution of related trust documents, and authorization for registration with various authorities including the Registrar of Companies, Income Tax Department, Stock Exchanges, and SEBI. EBITDA tumbled by 461% to Rs 1.91 crore, and PBT surged 183.73% to Rs 4.71 crore compared to previous TTM. The company's consolidated net cash flow from operating activities stood at Rs 12.28 crore in FY26, as against Rs 0.72 crore in FY25. Adroit Infotech Ltd fell 6.89% in last one year, significantly underperforming the benchmark BSE Sensex which has softened by 2.94% during the same period.
