Apollo Micro Systems has been shortlisted and awarded a Make-II Prototype Sanction Order (PSO) by the Indian Navy, in recognition of the Company's established capabilities in indigenous Naval Maritime Electronic Warfare. The project pertains to the design, development, and prototype demonstration of the Semi-Submersible Autonomous Vessel for Intelligence, Operations and Reconnaissance (SAVIOR-ASW) under the Make-II category. SAVIOR-ASW is an unmanned, semi-submersible maritime platform designed for persistent Anti-Submarine Warfare (ASW) surveillance, capable of autonomous operations for extended durations using advanced acoustic sensors, AI/ML-based target classification, and encrypted multi-channel communication systems. The system represents a significant step forward in India's indigenous underwater warfare capability. This is a prestigious and landmark order for the Company marking its formal entry into the domain of autonomous maritime and underwater warfare systems. In accordance with the Make-II category, there is no cost obligation on the Government during the prototype development phase. The Government is committed to procurement upon successful demonstration of the prototype.
Apollo Micro Systems has received orders worth Rs 134.34 crore from DRDO, Indian Navy, Defence PSUs, State Government and Private Industries. Further, IDL Explosives, a step-down subsidiary of the Company has been awarded the work of Rs 55.22 crore executables over a period of two years.
However, Premier Explosives declined 2.03% to Rs 700.25 on the BSE. Under the agreement, Apollo Micro Systems will acquire 2,22,21,735 equity shares of face value Rs 2 each from the promoters of Premier Explosives. Following the acquisition, the company will gain control of Premier Explosives and will launch a mandatory open offer to acquire up to a 26% stake from eligible public shareholders at Rs 698 per equity share, in accordance with SEBI (SAST) Regulations. According to Apollo Micro Systems, the transaction combines the complementary capabilities of both companies in defence systems and energetic materials, enabling operational efficiencies, enhanced research and development and broader participation in defence and space programmes. Upon completion of the transaction, Premier Explosives will become a subsidiary of Apollo Micro Systems while continuing to operate under its existing brand. The acquisition is subject to customary closing conditions, including approvals from the Competition Commission of India (CCI), completion of the mandatory open offer and other statutory and regulatory approvals. The transaction is expected to be completed within five months, with closing targeted in the third quarter of FY27. The company's consolidated profit after tax rose 168.7% YoY and 46.5% QoQ to Rs 37.62 crore in Q4 FY26. Net sales increased 81.3% YoY and 16.3% sequentially to Rs 293.26 crore during the quarter. EBITDA excluding other income stood at Rs 67.64 crore in Q4 FY26, up 88% from Rs 35.99 crore in the corresponding quarter last year and 34.2% higher than Rs 50.39 crore posted in Q3 FY26. EBITDA margin improved to 23.1% from 22.2% in Q4 FY25 and 20% in the previous quarter. Profit before tax stood at Rs 54.79 crore in Q4 FY26, up 149.1% year-on-year and 73.6% quarter-on-quarter. On the cost front, total expenditure climbed 79.4% YoY to Rs 225.61 crore. Raw material costs rose 78.5% to Rs 222.93 crore, while employee expenses increased 97.2% to Rs 13.45 crore during the quarter. Interest costs declined 14.2% YoY to Rs 9.08 crore, while depreciation expense rose 68.4% to Rs 6.97 crore. For the full year FY26, Apollo Micro Systems reported net sales of Rs 904.32 crore, up 60.9% from Rs 562.07 crore in FY25. Profit before tax rose 87.5% to Rs 154.8 crore, while profit after tax surged 100.2% to Rs 112.92 crore. EBITDA for the year rose 68.8% to Rs 218.16 crore. The company ended FY26 with a consolidated order book of Rs 1,432 crore as of 31 March 2026, providing strong revenue visibility ahead. Commenting on the performance, Addam Karunakar Reddy, managing director of Apollo Micro Systems, said FY26 was a breakthrough year for the company, marked by its highest-ever annual revenue and profitability, successful completion of the IDL Explosives acquisition through Apollo Defence Industries Pvt Ltd (ADIPL), receipt of a DPIIT licence for UAV manufacturing and securing its first export order. He added that another acquisition through ADIPL is expected to be completed before the end of the next financial year, which would further strengthen the company's organic growth and overall business capabilities. Net cash used in operating activities stood at Rs 129.76 crore in FY26 compared with positive operating cash flow of Rs 10.24 crore in FY25.
