Sumitomo Mitsui Banking Corporation (SMBC) has entered into a definitive agreement on 9 May 2025 to acquire 20% stake in Yes Bank through a secondary stake purchase of 13.19% from SBI and 6.81% aggregate stake from other bank shareholders (Investor Banks) including Axis Bank, Bandhan Bank, Federal Bank, HDFC Bank, ICICI Bank, IDFC First Bank and Kotak Mahindra Bank. This transaction is the largest cross-border investment in the Indian banking sector. SBI and the seven investor banks had invested in Yes Bank as part of its reconstruction scheme in March 2020. SBI's Executive Committee of the Central Board (ECCB) approved the deal involving the transfer of 413.44 crore equity shares (13.19% equity) at a price of Rs 21.50 per share, raking in a hefty Rs 8,888.97 crore for the PSU banking giant. The transaction is expected to be wrapped up within 12 months, subject to the usual regulatory and statutory clearances. SMBC, a premier Japanese multinational financial services firm and a part of the Sumitomo Mitsui Financial Group (SMFG), is the acquirer in this transaction. As on March 2025, SBI is the largest shareholder in Yes Bank, holding 23.97%, followed by smaller stakes from HDFC (2.75%), ICICI (2.39%), Kotak Mahindra (1.21%), Axis (1.01%), IDFC First (0.92%), Federal (0.76%), and Bandhan (0.70%). The clarification came in response to news articles that prompted a regulatory query from stock exchanges seeking clarity on the matter. In its statement to the exchanges, Yes Bank emphasized that while the institution remains on a growth path and routinely explores strategic opportunities with various stakeholders. However, such discussions are preliminary and do not warrant a disclosure. The information pertaining to these discussions as set out in the article is speculative at this time and are not factually correct, the bank stated. Earlier the media reported that SMBC received approval from the Reserve Bank of India (RBI) to acquire up to a 51% stake in Yes Bank. As per the shareholding pattern for the March 2024 quarter, State Bank of India (SBI) held a 23.97% stake in Yes Bank. Other key institutional shareholders included HDFC Bank (2.75%), ICICI Bank (2.39%), Kotak Mahindra Bank (1.21%), Axis Bank (1.01%), and LIC (3.98%). Yes Bank was restructured in 2020 with support from a consortium of Indian banks led by SBI, after the RBI superseded the bank's board amid concerns about governance and liquidity. The intervention followed the RBI's denial of an extension for then-CEO and founder Rana Kapoor. Since Kapoor's exit in 2019, Yes Bank has operated without a promoter. On a sequential basis, loans and advances grew marginally by 0.7% from Rs 2.44 lakh crore at the end of the December 2024 quarter. Deposits of the bank stood at Rs 2,84,488 crore during the period under review, up 6.8% YoY and 2.6% QoQ. The bank's CASA (current account savings account) ratio improved to 34.3% as of 31 March 2025, up from 30.9% a year earlier and 33.1% in the previous quarter. The credit-to-deposit ratio stood at 86.7% as of 31 March 2025, compared to 85.5% in the same period of the previous year and 88.3% in the previous quarter. Liquidity coverage ratio was at 125% as on 31 March 2025 as against 116.1% as on 31 March 2024 and 133.2% as on 31 December 2024. Yes Bank is a full-service commercial bank providing a complete range of products, services, and technology-driven digital offerings, catering to retail, MSME, as well as corporate clients. The bank reported a 164.52% surge in standalone net profit to Rs 612.27 crore in Q3 FY25 as against Rs 231.46 crore posted in Q3 FY24.
